Legal Counsel – Commercial Contracts Management

6 Month FTC

Overview of the role:

Reporting to the General Counsel, we are looking for a highly-qualified, motivated, organized, self-starting lawyer with 3 - 5 years of in-house experience focusing on commercial matters including: commercial transactions, contract law, licensing and alliances. He/she will also advise business partners on the legal, compliance, regulatory and litigation risks of possible business decisions, providing preventive counselling with respect to the underlying business practices and goals. The successful candidate will exhibit a practical, solution-driven, business-based approach to problem solving and exceptional interpersonal skills that facilitate prompt, constructive solutions for business partners on matters pertaining to legal management and strategy, operating standards, best practices and standards related to business, laws and regulations.

 

Main Responsibilities:

  • Negotiate and draft various types of commercial agreements, including software, technology and data licensing agreements, as well as purchasing/vendor contracts
  • Ensure that legal services provided to business partners are aligned with their strategic goals, mission, and objectives in compliance with all applicable laws; understand business partners’ strategy and provide legal services, including risk assessments, creative problem solving, and broad legal and business advice to best achieve those objectives
  • Assisting commercial directors
  • Resolving contractual and commercial problems
  • Working with senior internal stakeholders
  • Discovering areas that are not in keeping with regulation practices
  • Offering direction and instruction
  • Reviewing, scrutinizing, and developing operational process flows
  • Risk assessment
  • Ensuring that all stakeholders, such as administration, operations, and finance understand and adhere to contractual obligations; reflecting them accurately
  • Updating policies and procedures

Skills and Experience:

  • Degree from a top accredited law school.
  • A minimum of two years with substantive law firm and 3 years in-house legal experience with a strong focus on commercial transactions and general corporate matters.
  • Experience advising internal clients about legal risks, negotiation strategies, and proposed courses of action to mitigate risk.
  • Strong, pragmatic commercially minded business acumen, including the ability to recognize the business consequences of legal advice; a strategic and innovative thinker who can develop and articulate a clear understanding of the organization's strategy from all perspectives and find creative solutions to complex legal problems.
  • Sound and persuasive problem solving skills combined with the ability to quickly assess potential for risk and opportunity and offer practical business solutions to reach resolution.
  • A strong work ethic and client-service orientation. Ability to work effectively with all levels of management, to manage multiple projects simultaneously, exercise sound judgment and work independently and efficiently, and meet deadlines with consistently high-quality work product in a fast-paced environment.
  • Considerable personal credibility, including excellent client management, communication and interpersonal skills, combined with the ability to work well in a fluid/fast-paced, self-directed and highly collaborative team environment.
  • High professional ethics; good judgment; initiative; the ability to ability to articulate legal positions and strategies concisely and quickly (in a manner understood by non-legal clients and business partners); take independent and decisive action; the flexibility to prioritize conflicting demands from multiple sources.
  • Demonstrate self-confidence and respect for others, regardless of position, and willingness to work as a team member.
